Local Perx Merchant Offer Policy

This Merchant Offer Policy governs all discounts, incentives, promotions, advertisements, and benefits submitted to or displayed through Local Perx by participating local businesses, online retailers, service providers, restaurants, attractions, travel providers, and other merchants.

This Policy is incorporated into the Local Perx Merchant Agreement and Terms of Service.

By creating a merchant account, submitting an offer, approving content, or permitting an authorized representative to manage an offer, the participating merchant agrees to this Policy.

Section 01

Purpose of Local Perx

Local Perx is a software-as-a-service platform supporting nonprofit organizations, schools, teams, community groups, local businesses, and members.

Local Perx may provide merchants with technology to:

  • Create and manage a business profile.
  • Submit and publish member offers.
  • Select participating locations.
  • Establish offer restrictions.
  • Pause or discontinue an offer.
  • Review offer views and redemptions.
  • Manage authorized employees.
  • Respond to reported offer issues.
  • Support participating nonprofit organizations.
  • Reach eligible Local Perx members.

Local Perx’s involvement is limited to providing and administering the technology through which independently created merchant offers may be displayed, discovered, and recorded.

Section 02

Independent Merchant Relationship

Every participating merchant is an independent business.

Nothing in this Policy creates an employment, partnership, franchise, agency, joint venture, fiduciary, endorsement, or ownership relationship between Local Perx and the merchant.

Local Perx does not:

  • Operate the merchant’s business.
  • Employ or supervise merchant employees.
  • Control the merchant’s prices.
  • Determine product or service quality.
  • Maintain merchant inventory.
  • Control merchant hours.
  • Set merchant refund policies.
  • Provide the merchant’s goods or services.
  • Guarantee merchant performance.
  • Guarantee that an offer will be honored.
  • Assume the merchant’s legal responsibilities.
  • Make warranties on the merchant’s behalf.

The merchant may not state or imply that Local Perx owns, operates, endorses, guarantees, certifies, or assumes responsibility for the merchant or its offers.

Section 03

Merchant Responsibility for Offers

The merchant is solely responsible for each offer submitted under its account.

This responsibility includes:

  • Offer wording.
  • Discount amount.
  • Products or services included.
  • Products or services excluded.
  • Participating locations.
  • Start and expiration dates.
  • Available days and hours.
  • Minimum purchase requirements.
  • Maximum discount amounts.
  • Redemption frequency.
  • Customer eligibility.
  • Inventory and availability.
  • Applicable taxes and fees.
  • Required disclosures.
  • Images, logos, trademarks, and other content.
  • Legal and regulatory compliance.
  • Employee training.
  • Offer fulfillment.
  • Customer questions and complaints.

Local Perx’s publication, formatting, review, or approval of an offer does not transfer responsibility from the merchant to Local Perx.

Section 04

Authorized Business Representatives

A person creating or managing a merchant account represents that the person:

  • Is at least 18 years old.
  • Is authorized to act for the merchant.
  • Has authority to submit and approve offers.
  • Has authority to grant Local Perx the content license described below.
  • Has obtained all required internal approvals.
  • Has verified that the offer can be fulfilled.
  • Will keep the offer and business information current.
  • Will notify Local Perx if that authority ends.

The merchant is responsible for actions taken by its owners, managers, employees, contractors, agents, and other authorized representatives.

A representative may not submit an offer using another person’s identity or without the merchant’s authorization.

A person who knowingly submits fraudulent or unauthorized business information may be held responsible to the extent permitted by law.

Section 05

Required Offer Information

Each offer should clearly identify:

  • The participating business.
  • The benefit or discount.
  • The eligible product or service.
  • The participating location or website.
  • Any minimum purchase.
  • Any maximum discount.
  • Any excluded products or services.
  • Whether the offer may be combined with another promotion.
  • Redemption frequency.
  • Start and expiration dates, where applicable.
  • Days or hours when the offer is valid.
  • Whether taxes, fees, gratuities, shipping, or service charges are excluded.
  • Any age, licensing, residency, or other eligibility requirement.
  • Any online code or tracked-link requirement.
  • Any reservation or appointment requirement.
  • Other information that could materially affect a member’s decision.

Material restrictions may not be hidden in images, unclear abbreviations, inaccessible content, or misleading language.

Section 06

Truthful and Accurate Content

All merchant content must be truthful, accurate, current, supported, and not misleading.

The merchant must have a reasonable basis and appropriate evidence for every express or implied claim before submitting it to Local Perx.

A merchant may not submit:

  • A false regular price.
  • A fabricated discount.
  • A misleading “free” offer.
  • An unavailable product represented as readily available.
  • A misleading health, safety, or performance claim.
  • A false affiliation or endorsement.
  • A deceptive comparison.
  • An offer designed primarily as bait for a different purchase.
  • A discount that is routinely available to everyone but represented as an exclusive Local Perx benefit.
  • Material conditions that are omitted from the listing.
  • Images or logos the merchant is not authorized to use.

Local Perx may request documentation supporting an offer or advertising claim.

Section 07

Discount Calculations and Pricing Claims

If an offer advertises a percentage or dollar-value discount, the merchant is responsible for ensuring that the comparison price is genuine.

For example:

  • “20% off” must accurately identify what price receives the reduction.
  • “Save $10” must be based on a legitimate price.
  • “Buy one, get one free” must clearly identify the eligible items.
  • “Free with purchase” must clearly disclose the required purchase.
  • “Up to 50% off” must not misleadingly imply that most products receive the maximum discount.
  • “Exclusive offer” may be used only when the offer is meaningfully limited to eligible Local Perx members.

The merchant may not artificially increase a regular price to create a misleading discount.

Local Perx may remove or revise the display of a pricing claim when supporting information is unavailable or the wording could confuse members.

Section 08

Offer Review and Publication

Local Perx may review submitted offers for:

  • Required information.
  • Formatting.
  • Readability.
  • Apparent errors.
  • Prohibited content.
  • Brand consistency.
  • Technical compatibility.
  • Consumer complaints.
  • Legal or reputational risk.

Local Perx may approve, reject, return, suspend, or remove an offer at its discretion.

Local Perx may correct obvious spelling, punctuation, capitalization, display, or formatting issues without changing the offer’s material meaning.

Any material change should be returned to the merchant or its authorized representative for approval.

Local Perx’s review is not legal advice and does not certify that an offer complies with every applicable law.

Section 09

Merchant Right to Change an Offer

A merchant may change an offer at any time through the merchant dashboard or an approved support process.

Changes may include:

  • Discount amount.
  • Eligible items.
  • Excluded items.
  • Purchase minimum.
  • Maximum savings.
  • Valid locations.
  • Valid dates.
  • Available days or hours.
  • Redemption frequency.
  • Appointment or reservation requirements.
  • Online promotional code.
  • Inventory restrictions.
  • Other material terms.

The merchant must ensure that revised terms are accurate before publishing them.

Material changes should receive a timestamp and effective date. Local Perx may maintain prior versions for auditing, dispute resolution, fraud prevention, and legal compliance.

Section 10

Merchant Right to Pause or Discontinue an Offer

A merchant may pause, replace, or discontinue an offer at any time.

Reasons may include:

  • Inventory limitations.
  • Staffing limitations.
  • Seasonal changes.
  • Business closure.
  • Location closure.
  • Increased operating costs.
  • An offer-entry error.
  • Suspected fraud or misuse.
  • Legal or regulatory concerns.
  • Changes in ownership.
  • Changes in products or services.
  • Another legitimate business reason.

The merchant should use the merchant dashboard to change the offer’s status immediately.

Available statuses may include:

  • Draft.
  • Pending Review.
  • Active.
  • Scheduled.
  • Paused.
  • Discontinued.
  • Expired.
  • Suspended by Local Perx.

Local Perx will make reasonable efforts to stop displaying an offer after receiving a valid change request. Technical caching, delayed synchronization, screenshots, printed materials, or third-party links may cause an earlier version to remain temporarily visible.

The merchant should contact Local Perx immediately if an inactive offer continues to appear as active.

Section 11

Merchant Right to Refuse an Offer

Subject to applicable law, a merchant may refuse an attempted redemption when:

  • The offer has expired.
  • The offer has been paused or discontinued.
  • The membership is inactive.
  • The transaction does not satisfy the offer requirements.
  • The requested product or service is excluded.
  • The offer is not valid at that location.
  • The required purchase minimum is not met.
  • The member attempts prohibited offer stacking.
  • The redemption-frequency limit has been reached.
  • The product or service is unavailable.
  • The member presents a screenshot or copied credential instead of a valid live membership when live verification is required.
  • The merchant reasonably suspects fraud, duplication, unauthorized sharing, or manipulation.
  • The member behaves unlawfully, threateningly, abusively, or unsafely.
  • Redemption would violate applicable law.
  • Another clearly disclosed restriction applies.

A merchant may not refuse an offer for an unlawfully discriminatory reason.

When practical, the merchant should explain the reason for refusal and report repeated fraud or technical issues to Local Perx.

Section 12

Completed Redemptions

The merchant is responsible for verifying applicable offer conditions before completing the transaction.

Once the merchant accepts an offer and completes the underlying transaction, the merchant remains responsible for:

  • The product or service delivered.
  • Customer service.
  • Returns and exchanges.
  • Warranties.
  • Taxes.
  • Receipts.
  • Refunds.
  • Safety.
  • Required professional services.
  • Compliance with its normal policies.

A Local Perx redemption record does not establish that Local Perx participated in the underlying merchant transaction.

Section 13

No-Stacking and Other Restrictions

Unless the merchant expressly permits it, a Local Perx offer may not be combined with:

  • Another Local Perx offer.
  • A merchant coupon.
  • Employee pricing.
  • Loyalty rewards.
  • Happy-hour pricing.
  • Clearance pricing.
  • Third-party promotional codes.
  • Other discounts or incentives.

The merchant must clearly disclose unusual restrictions.

If no restriction is disclosed, Local Perx may ask the merchant to honor the reasonable interpretation presented to members or clarify the offer going forward. Local Perx cannot compel the merchant to complete a transaction.

Section 14

Merchant Products and Services

The merchant is solely responsible for all products and services it advertises, sells, provides, or fulfills.

This includes responsibility for:

  • Product quality.
  • Product safety.
  • Food preparation.
  • Allergens.
  • Professional qualifications.
  • Licensing.
  • Permits.
  • Insurance.
  • Service quality.
  • Inventory.
  • Delivery.
  • Shipping.
  • Reservations.
  • Cancellations.
  • Warranties.
  • Recalls.
  • Taxes.
  • Gratuities.
  • Employee conduct.
  • Premises safety.
  • Compliance with applicable law.

Local Perx does not inspect, test, certify, manufacture, prepare, store, transport, or warrant merchant products or services.

Section 15

Merchant Refunds, Returns, and Exchanges

The merchant is solely responsible for its own:

  • Refund policy.
  • Return policy.
  • Exchange policy.
  • Warranty policy.
  • Reservation cancellation policy.
  • Appointment cancellation policy.
  • Delivery dispute process.
  • Customer-service resolution.

Local Perx processes refunds only for the Local Perx membership when eligible under the Local Perx Refund, Cancellation, and Automatic-Renewal Policy.

Local Perx is not responsible for refunding money a member paid directly to a merchant or online retailer.

The merchant may not direct a member to seek a merchant-purchase refund from Local Perx.

Section 16

Membership Refunds Are Separate

A Local Perx membership purchase is separate from a member’s purchase of products or services from a participating merchant.

If Local Perx refunds a membership:

  • The membership may be deactivated.
  • Future offer access ends.
  • Fundraising credit may be reversed.
  • The merchant is not responsible for refunding the Local Perx membership price.

If a merchant refunds an underlying purchase:

  • The merchant processes that refund.
  • Local Perx does not refund the merchant transaction.
  • The Local Perx membership ordinarily remains active.
  • The redemption record may be corrected where appropriate.
Section 17

Online Retailer Offers

An online retailer is solely responsible for:

  • Its website.
  • Checkout process.
  • Product pricing.
  • Promotional codes.
  • Eligible products.
  • Shipping.
  • Delivery.
  • Taxes.
  • Inventory.
  • Returns.
  • Customer accounts.
  • Data collection.
  • Customer service.
  • Refunds.

Local Perx does not guarantee that a tracked link, cookie, or promotional code will work with every browser, device, privacy setting, or retailer system.

The online retailer must keep its offer requirements current and promptly report expired or nonfunctional codes.

Section 18

Accessibility and Nondiscrimination

Merchants are responsible for complying with applicable accessibility and nondiscrimination laws.

This responsibility may include:

  • Physical accessibility.
  • Accessible customer service.
  • Reasonable policy modifications.
  • Effective communication.
  • Service-animal requirements.
  • Accessible websites and online ordering.
  • Nondiscriminatory offer eligibility.
  • Assistance during offer redemption.

Local Perx’s digital accessibility efforts do not replace the merchant’s independent responsibilities for its business, premises, website, products, or services.

The merchant may not refuse an offer based on race, color, religion, national origin, sex, pregnancy, age, disability, or another protected characteristic.

Section 19

Intellectual Property

The merchant represents that it owns or has permission to use all content it submits, including:

  • Business names.
  • Logos.
  • Trademarks.
  • Photographs.
  • Videos.
  • Product images.
  • Descriptions.
  • Offer text.
  • Promotional graphics.

The merchant grants Local Perx a nonexclusive, worldwide, royalty-free license to host, reproduce, format, resize, display, distribute, and use the submitted content for:

  • Displaying the merchant profile.
  • Promoting the applicable offer.
  • Supporting Local Perx campaigns.
  • Creating digital previews.
  • Operating social-sharing tools.
  • Marketing the Local Perx program.
  • Maintaining records and backups.

This license continues while the content is active and for a reasonable period afterward for records, dispute resolution, archival copies, and previously created materials.

Section 20

Member Information and Privacy

A merchant may receive only the member information reasonably necessary to validate membership or process an offer.

The merchant may not:

  • Sell member information.
  • Add members to an independent marketing list without separate consent.
  • Attempt to identify the student or child credited with the membership sale when that information is not needed.
  • Use redemption data for unrelated profiling.
  • Share member information with unauthorized parties.
  • Contact a member for unrelated marketing without legally valid consent.
  • Retain payment or membership credentials contrary to applicable law.
  • Disclose private complaint or transaction information publicly.

Merchant use of personal information must comply with the Local Perx Privacy Policy and applicable law.

Section 21

Children’s Information

Merchants generally do not need access to information identifying a child or student who received fundraising credit.

A merchant may not:

  • Request a child’s home address.
  • Request a child’s telephone number or email address.
  • Contact a child directly for marketing.
  • Copy or retain a child’s photograph.
  • Attempt to communicate privately with a child through Local Perx.
  • Use a participant page for unrelated advertising.
  • Publish information about a child without verified authorization.

Questions concerning a child’s fundraising page should be directed to Local Perx or the authorized organization.

Section 22

Employee Training

The merchant is responsible for informing relevant owners, managers, and employees about:

  • The active Local Perx offer.
  • Participating locations.
  • Offer restrictions.
  • Redemption procedures.
  • Fraud indicators.
  • Accessibility obligations.
  • Customer-service expectations.
  • How to report an issue.
  • How to confirm whether an offer is active.

Failure to train employees does not transfer responsibility to Local Perx.

The merchant should maintain an accessible copy of its current offer terms for employees.

Section 23

Offer Performance and Analytics

Local Perx may provide merchants with information such as:

  • Offer views.
  • Profile visits.
  • Redemption counts.
  • Approximate savings.
  • Traffic sources.
  • Geographic summaries.
  • Campaign relationships.
  • Member engagement.

Analytics may contain estimates and may be affected by:

  • Browser privacy settings.
  • Device limitations.
  • Offline purchases.
  • Unconfirmed redemptions.
  • Cookie blocking.
  • Duplicate activity.
  • Technical outages.
  • Attribution limitations.

Local Perx does not guarantee the accuracy or completeness of every analytic measurement.

Section 24

No Guarantee of Results

Local Perx does not guarantee that participation will produce:

  • A minimum number of customers.
  • A minimum number of redemptions.
  • Increased sales.
  • Increased profits.
  • Repeat customers.
  • Social-media exposure.
  • A particular search ranking.
  • Exclusivity within a category.
  • Participation by a particular nonprofit.
  • Continued member interest.

The merchant remains responsible for evaluating whether an offer is appropriate for its business.

Section 25

Complaints and Disputes

Local Perx may allow members to report:

  • An offer refusal.
  • Incorrect terms.
  • An expired offer.
  • An inaccessible location.
  • Poor merchant conduct.
  • Suspected discrimination.
  • Product or service concerns.
  • Fraud or misuse.

Local Perx may provide the complaint to the merchant and request a response.

The merchant agrees to:

  • Review complaints promptly.
  • Respond truthfully.
  • Preserve relevant records.
  • Correct inaccurate information.
  • Cooperate with reasonable investigations.
  • Avoid retaliation against a member.

Local Perx may track complaint patterns and take corrective action, including pausing or removing offers.

Section 26

Prohibited Offers

Local Perx may prohibit or restrict offers involving:

  • Illegal products or services.
  • Fraudulent or deceptive conduct.
  • Weapons.
  • Controlled substances.
  • Unlawful gambling.
  • Adult sexual services.
  • Hate or discriminatory content.
  • Counterfeit goods.
  • Unsafe products.
  • Unlicensed professional services.
  • Pyramid or recruitment schemes.
  • Misleading financial services.
  • Other restricted categories identified by Local Perx, Stripe, payment networks, or applicable law.

Local Perx may request additional documentation for regulated products or services.

Section 27

Fraud and Misuse

The merchant must not:

  • Create fake redemptions.
  • Inflate performance data.
  • Encourage duplicate accounts.
  • Collect unnecessary member information.
  • Manipulate nonprofit attribution.
  • Submit fabricated customer complaints.
  • Use misleading savings claims.
  • Circumvent Platform controls.
  • Use Local Perx credentials outside approved purposes.

Local Perx may investigate unusual activity and suspend the merchant while the investigation is pending.

Section 28

Local Perx Enforcement Rights

Local Perx may reject, pause, edit for formatting, limit, or remove an offer when:

  • The content is inaccurate.
  • The offer generates repeated complaints.
  • The merchant fails to honor valid terms.
  • The merchant cannot verify its authority.
  • The offer presents a legal or safety concern.
  • The offer violates this Policy.
  • The merchant misuses member information.
  • The merchant engages in unlawful discrimination.
  • Fraud is suspected.
  • The merchant’s account is inactive.
  • Continued publication could harm members, organizations, or Local Perx.

Local Perx may suspend the merchant account, notify affected organizations or members, and preserve relevant records.

Removal does not prevent Local Perx from investigating earlier activity or enforcing surviving obligations.

Section 29

Merchant Records

The merchant should maintain records reasonably sufficient to verify:

  • The offer’s approval.
  • Effective dates.
  • Terms and restrictions.
  • Participating locations.
  • Employee instructions.
  • Supporting advertising evidence.
  • Material changes.
  • Complaints and resolutions.
  • Applicable licenses and permits.

Local Perx may request these records when reasonably necessary to investigate a complaint or verify compliance.

Section 30

Merchant Release of Local Perx

To the fullest extent permitted by law, the merchant releases Local Perx and its owners, officers, employees, contractors, affiliates, representatives, and service providers from claims arising from:

  • The merchant’s offer.
  • Merchant products or services.
  • Merchant transactions.
  • Merchant refunds or refusals.
  • Merchant locations.
  • Merchant employees.
  • Merchant websites.
  • Merchant advertisements.
  • Merchant data practices.
  • Member misuse not caused by Local Perx.
  • Business results or lack of results.

This release does not apply to liability that cannot legally be waived or to Local Perx’s own gross negligence or willful misconduct.

Section 31

Merchant Indemnification and Hold-Harmless Obligation

To the fullest extent permitted by law, the merchant agrees to defend, indemnify, release, and hold harmless Local Perx and its owners, officers, employees, contractors, affiliates, representatives, licensors, and service providers from all claims, demands, actions, losses, liabilities, damages, penalties, judgments, settlements, costs, and reasonable legal fees arising from or relating to:

  • The merchant or its authorized representative.
  • Content submitted by the merchant.
  • An inaccurate, deceptive, or unlawful offer.
  • The merchant’s products or services.
  • Personal injury, property damage, or economic loss.
  • Food safety or allergen claims.
  • Professional services.
  • Merchant refunds, returns, or warranties.
  • Offer refusal or discontinuation.
  • Merchant discrimination or accessibility violations.
  • Violation of privacy or messaging laws.

  • Breach of this Policy or another Local Perx agreement.
  • Fraud, negligence, or willful misconduct by the merchant.
  • A claim by a member, regulator, employee, organization, or third party connected to the merchant’s conduct.

Local Perx will provide reasonable notice of an indemnified claim. The merchant may not settle a claim in a manner that admits wrongdoing by or imposes an obligation on Local Perx without Local Perx’s written consent.

Section 32

Limitation of Local Perx Responsibility

Local Perx is responsible for operating its Platform according to its own Terms, policies, and applicable law.

Local Perx is not responsible for independently verifying every fact, price, image, restriction, license, location, employee instruction, product, or service submitted by a merchant.

Local Perx’s decision to display an offer does not constitute:

  • Endorsement.
  • Certification.
  • A warranty.
  • A legal opinion.
  • A guarantee of availability.
  • Assumption of merchant liability.

Nothing in this Policy limits responsibility that cannot legally be excluded.

Section 33

Termination of Merchant Participation

The merchant or Local Perx may terminate participation subject to the applicable Merchant Agreement.

Upon termination:

  • Active offers may be discontinued.
  • The merchant profile may be removed.
  • Member access to the merchant’s offers may end.
  • Historical redemption and audit records may be retained.
  • Outstanding complaints may continue to be investigated.
  • Privacy, indemnification, intellectual-property, and payment obligations may survive.

The merchant should remove Local Perx branding and stop representing itself as a participating merchant after termination.

Section 34

Policy Updates

Local Perx may update this Policy as laws, technology, merchant categories, Platform features, and business requirements change.

Material changes may require renewed merchant acceptance.

Continued submission or management of offers after an updated Policy becomes effective constitutes acceptance where permitted by law.
