Welcome to Local Perx
Welcome to Local Perx. These Terms of Service (“Terms”) govern your access to and use of the Local Perx website, progressive web application (“PWA”), digital membership program, fundraising tools, merchant-offer marketplace, dashboards, communications, and related services (collectively, the “Platform”).
In these Terms, “Local Perx,” “we,” “us,” and “our” refer to [FULL LEGAL COMPANY NAME]. “You” refers to anyone accessing or using the Platform, including members, purchasers, parents and guardians, nonprofit organizations, schools, teams, coordinators, merchants, representatives, and other authorized users.
By creating an account, purchasing a membership, joining a campaign, submitting an offer, receiving a payout, or otherwise using the Platform, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
Important Information About Local Perx
Local Perx is a software and administrative platform that connects members, nonprofit organizations, schools, community groups, participating businesses, and authorized representatives.
Local Perx provides the technology used to:
- Operate digital fundraising campaigns.
- Sell and manage Local Perx memberships.
- Attribute purchases to participating students and organizations.
- Display offers submitted by independent businesses.
- Provide digital membership wallets and redemption records.
- Facilitate payment processing and authorized distributions.
- Track campaign performance, savings, rewards, referrals, and payouts.
- Support communications between authorized Platform participants.
Local Perx is not a school, nonprofit organization, charity, merchant, travel provider, financial institution, tax adviser, or guarantor of any campaign, offer, reward, product, or service.
When stated at checkout, Local Perx may act as the seller or merchant of record for the Local Perx membership transaction. This does not make Local Perx the provider of products, services, discounts, or vouchers offered by independent businesses or third-party providers.
Eligibility and Account Authority
You must be at least 18 years old and legally capable of entering into a binding agreement to create an independent Local Perx account.
Children and minors may participate only through an account managed or approved by a parent, legal guardian, school, nonprofit, or other authorized adult. Children are not required to provide personal email addresses or independently manage accounts.
If you use Local Perx for an organization or business, you represent that you are authorized to accept these Terms on its behalf.
Platform Roles
Local Perx may provide different dashboards, permissions, and responsibilities for:
- Members and purchasers.
- Parents and legal guardians.
- Students and other fundraising participants.
- Nonprofit organizations, schools, teams, and community groups.
- Campaign coordinators, teachers, coaches, and organization leaders.
- Participating merchants and their authorized employees.
- County, state, national, and other authorized representatives.
- Local Perx support, finance, compliance, and corporate administrators.
Access is limited according to each user’s assigned role. Users may not access information or perform actions outside their authorized permissions.
Local Perx may add, modify, suspend, or remove role permissions to protect users, organizations, funds, and the Platform.
Accounts and Security
You agree to provide accurate and current information and to keep your login credentials secure. You are responsible for activity conducted through your account unless you promptly report unauthorized access. You may not:
- Share administrative credentials with unauthorized users.
- Impersonate another person or organization.
- Create fraudulent accounts or campaign participants.
- Attempt to bypass role restrictions.
- Access another user’s private information without authorization.
- Use automated systems to scrape, copy, or misuse Platform data.
Local Perx may require identity, organizational, banking, tax, or authority verification before activating certain features or payouts.
Parent and Guardian Accounts
One parent or guardian account may manage multiple children or participants, including children supporting different organizations.
A parent or guardian may be allowed to:
- Link a child using a private enrollment code or verified roster match.
- View the child’s organization, coordinator, sales, goals, and rewards.
- Manage the child’s public fundraising page.
- Approve or remove a child’s photograph.
- Share the child’s fundraising link or QR code.
- Download approved promotional materials.
- Request an organization transfer.
- Manage communications and privacy settings.
- Add another authorized guardian where supported.
Parents and guardians must not publish sensitive information about a child. Local Perx may default public student pages to a first name, first initial, nickname, or other privacy-protective identifier.
Student and Participant Pages
Each approved participant may receive a unique, mobile-responsive fundraising page, short link, and QR code.
A participant page may display:
- The participant’s approved display name.
- An optional guardian-approved photograph.
- The participating organization.
- The campaign’s purpose.
- The membership price.
- Participating businesses and available offers.
- The participant’s assigned goal and progress.
- Campaign or prize-period dates.
- A purchase button.
- Approved social-sharing tools.
The parent or guardian grants Local Perx permission to display content they approve for the participant’s page. Consent may be withdrawn by removing the content or contacting Local Perx.
Local Perx may remove photographs, messages, or other content that creates a privacy, safety, legal, or reputational concern.
Campaign Goals and Participation
The participating organization establishes its fundraising goal, purpose, eligible participant count, coordinators, and applicable campaign or prize period.
Individual participant goals may be calculated by dividing the organization’s total sales target by the number of eligible participants. Parents may view these goals but may not change them unless the organization expressly authorizes that ability.
Goals, progress meters, projections, and rankings are informational. Local Perx does not guarantee that an organization or participant will reach a stated goal.
Organizations are responsible for accurately describing their identity, status, campaign purpose, and intended use of funds.
Year-Round Fundraising and Prize Periods
Unless a campaign page states otherwise, an approved fundraising page may remain available for membership purchases throughout the year.
An organization may establish a defined prize period, such as October 1 through October 30. During that period, eligible purchases may count toward:
- Participant goals.
- Leaderboards.
- Organization rankings.
- Sales incentives.
- Parties, awards, or other announced prizes.
Purchases outside the prize period may still generate applicable credit for the participant and organization but will not count toward a closed prize competition.
Campaign pages should clearly state whether the prize period is active, upcoming, or closed. Separate official prize or promotion rules may apply.
Organization and Participant Transfers
A parent or guardian may request that a participant be transferred from one organization to another as the participant changes schools, teams, programs, or affiliations.
A transfer may require:
- Request from the parent or guardian.
- Acceptance by the new organization.
- Notice to the former organization.
- Approval by an authorized Local Perx administrator.
- A documented effective date.
Completed sales, payouts, rankings, and financial records remain associated with the organization and campaign under which they occurred.
After an approved transfer becomes effective, future qualifying purchases and renewals attributed to the participant may support the new organization according to the current program rules. A transfer does not retroactively move previously earned or distributed funds.
Local Perx Memberships
A Local Perx membership provides access to a digital membership wallet and eligible offers available through the Platform.
Membership details—including price, duration, renewal terms, geographic coverage, and included benefits—will be shown at checkout.
Local Perx is designed as a digital program. A printable QR-code page or promotional sign is not a physical membership card and does not independently establish membership eligibility.
Memberships may be limited to the registered member and may not be copied, resold, duplicated, transferred, or shared unless expressly permitted.
Renewals and Cancellations
If a membership renews automatically, the renewal schedule and price will be disclosed before purchase, and the purchaser must affirmatively authorize recurring billing.
Members may cancel future automatic renewal through their account or by contacting Local Perx. Cancellation stops future renewal charges but does not automatically create a refund for the current membership period.
Renewals attributed to a participant or organization will follow the valid assignment in effect when the renewal is processed, subject to the applicable campaign and payout rules.
Local Perx may provide legally required renewal reminders and cancellation options.
Nonprofit and Organization Responsibilities
Participating organizations agree to:
- Provide accurate legal, contact, tax, banking, and campaign information.
- Maintain authority to conduct the stated fundraising activity.
- Use received funds lawfully.
- Protect student, family, member, and merchant information.
- Assign only authorized coordinators.
- Maintain accurate participant counts and roster information.
- Avoid misleading claims about donations, tax deductions, or campaign results.
- Cooperate with refunds, disputes, chargebacks, and compliance reviews.
- Follow applicable school, fundraising, privacy, and child-safety requirements.
Purchasing a Local Perx membership is a purchase that includes member benefits. It should not be represented as a tax-deductible charitable donation unless a qualified tax professional determines otherwise.
Local Perx does not independently guarantee an organization’s charitable status or use of proceeds.
Merchant Participation
Participating merchants are independent businesses. Merchants are responsible for the accuracy, legality, fulfillment, and availability of their offers and underlying products or services.
Merchant Right to Change or Discontinue Offers
A participating merchant may change, pause, restrict, replace, discontinue, or refuse an offer at any time, subject to applicable law and any separate merchant agreement.
A merchant may refuse redemption when:
- The offer has expired, changed, or been discontinued.
- Required conditions or exclusions are not satisfied.
- The offer is unavailable at a particular location.
- Inventory or service availability prevents fulfillment.
- The member attempts to combine offers when stacking is not allowed.
- The merchant reasonably suspects fraud, duplication, misuse, or unauthorized sharing.
- Redemption would violate applicable law or create a safety concern.
Local Perx may display changes when reported, replace discontinued offers, or suspend a merchant for complaints, misuse, inaccurate information, or policy violations. Local Perx cannot compel an independent merchant to honor an unavailable or discontinued offer.
Participation in Local Perx does not guarantee a merchant any minimum number of visits, customers, sales, or revenue.
Merchant Offer Conditions
Unless an offer expressly states otherwise:
- Offers are subject to availability.
- Offers have no cash value.
- Offers cannot be exchanged for cash.
- Offers cannot be combined with other discounts or promotions.
- Taxes, gratuities, delivery charges, and excluded items remain the member’s responsibility.
- Location, date, time, purchase, and frequency restrictions may apply.
- Offers are limited to personal, noncommercial use.
- Reproduction, resale, or fraudulent redemption is prohibited.
Members should review the current offer details immediately before redemption.
Digital Redemption
Members may redeem an available offer through the Local Perx PWA by following the displayed instructions and presenting the live redemption screen to the merchant.
A merchant may not be required to scan a QR code unless its offer or location uses merchant confirmation. Local Perx may introduce optional confirmation codes, employee approvals, rotating QR codes, or other fraud-prevention methods.
Redemption records may include the merchant, offer, location, time, reported savings, and device or account information.
Recorded savings are estimates based on information supplied during redemption and are not guaranteed financial statements.
Text Messages and Communications
Local Perx may offer account, receipt, security, campaign, renewal, and promotional communications by email, text message, push notification, or in-app message.
Providing another person’s name or telephone number does not establish that person’s consent to receive automated Local Perx messages. A parent or user may not consent on another recipient’s behalf.
Initial personal fundraising invitations should be sent by the parent or guardian through their own communication application unless the recipient has already provided the required consent to Local Perx.
When a recipient separately agrees to Local Perx text messages:
- Message frequency may vary.
- Message and data rates may apply.
- Consent is not a condition of purchase where prohibited by law.
- The recipient may reply STOP to unsubscribe.
- The recipient may reply HELP for assistance.
- Carriers are not responsible for delayed or undelivered messages.
Local Perx may retain records showing when, how, and for what purpose consent was obtained.
Payments and Stripe
Local Perx uses Stripe and potentially other authorized providers to process payments and facilitate distributions.
Payment-processing services for eligible connected accounts are provided by Stripe and are subject to the applicable Stripe Connected Account Agreement and Stripe Services Agreement. Connected accounts must provide accurate information and complete required verification.
By using payment or payout features, you authorize Local Perx to provide Stripe with information necessary to process transactions, establish connected accounts, prevent fraud, handle disputes, issue refunds, and meet legal obligations.
Local Perx does not store complete payment-card numbers when payment information is entered directly through Stripe’s secured systems.
Financial Allocations and Payouts
A membership transaction may be allocated among the participating organization, Local Perx, authorized representatives, a prize reserve, payment processors, taxing authorities, or other disclosed recipients.
Applicable percentages, fixed amounts, fees, and payout timing may be established in a separate organization, merchant, representative, or campaign agreement.
Dashboard amounts may be labeled:
- Pending.
- Eligible.
- Held.
- Paid.
- Reversed.
- Suspended.
- Redirected.
Pending amounts are estimates and are not earned or payable until transaction, eligibility, verification, refund, dispute, and hold requirements are satisfied.
Local Perx may delay or hold payouts for fraud review, chargeback exposure, incomplete verification, tax documentation, suspected misconduct, legal requirements, negative balances, or Platform-policy violations.
Representatives and Territories
County, state, national, and other representatives may receive territory assignments and compensation under separate written agreements.
Territories may be assigned, transferred, suspended, or returned to Local Perx with an approved effective date. Historical earnings remain associated with the assignment in effect when those earnings became eligible.
Future earnings may be suspended or redirected when a representative resigns, is terminated, loses an assignment, violates policy, or is under investigation.
Local Perx may require approval, documented reasons, timestamps, and audit records for:
- Territory assignments.
- Organization transfers.
- Compensation suspensions.
- Account terminations.
- Payout redirections.
- Representative replacements.
Nothing in these Terms creates employment, partnership, franchise, agency, or ownership rights. The applicable representative agreement determines the relationship.
Refunds, Disputes, and Chargebacks
Refund eligibility is governed by the refund policy displayed at purchase, applicable law, and the circumstances of the transaction.
Local Perx may approve, deny, or issue a full or partial refund. Affected payout recipients may receive notice of the financial adjustment, but Local Perx retains final authority over consumer refunds processed through the Platform.
When a transaction is refunded, disputed, reversed, or charged back, Local Perx may reverse the corresponding allocations for:
- The participating organization.
- County, state, or national representatives.
- The prize reserve.
- Local Perx.
- Other payout recipients.
If allocated funds have not been paid, the amount may be removed from the pending balance. If funds have already been paid, Local Perx may create a negative balance and offset it against future payouts where permitted.
Local Perx may retain reserves or delay distributions to manage reasonably anticipated refund and chargeback exposure.
Prizes and Prize Reserve
A portion of eligible transactions may be assigned to a Local Perx prize reserve.
Prize-reserve funds remain subject to the applicable campaign budget, eligibility requirements, official rules, approval procedures, refund adjustments, and applicable law.
Prize rankings may be adjusted for refunds, duplicate accounts, fraudulent transactions, disqualified participants, or data corrections.
Prizes, contests, drawings, and leaderboards may require separate official rules. Where official rules conflict with these Terms concerning a specific promotion, the official rules control.
Third-Party Vouchers and CMI
Local Perx may allow eligible members to select a promotional voucher supplied by Creative Marketing Incentives (“CMI”) or another independent provider.
CMI and similar providers are independent third parties. They—not Local Perx—control voucher availability, activation, fulfillment, booking, redemption, restrictions, expiration dates, taxes, fees, and customer-service requirements.
Local Perx:
- Is not a travel provider.
- Does not operate or control CMI.
- Does not guarantee voucher availability or value.
- Is not responsible for travel arrangements or provider performance.
- Does not set third-party taxes, booking costs, or redemption restrictions.
- May replace, suspend, or remove vouchers when availability changes.
Members must review the provider’s current terms before selecting or redeeming a voucher. A voucher may be limited to one selection per qualifying membership and may become nonexchangeable after selection or activation.
Taxes and Financial Records
Each organization, merchant, representative, and payment recipient is responsible for determining and paying its own applicable taxes.
Local Perx may request tax-identification information, certifications, or forms before enabling payouts. Local Perx or its payment provider may issue legally required tax documents.
Local Perx may provide annual statements showing customer payments, processing fees, refunds, chargebacks, organization distributions, representative payments, prize-reserve contributions, taxes, and Local Perx allocations.
These statements are informational and are not legal, accounting, or tax advice.
User and Partner Content
Users may submit names, logos, photographs, campaign descriptions, merchant offers, business details, messages, and other materials (“User Content”).
You retain ownership of your User Content. You grant Local Perx a nonexclusive, worldwide, royalty-free license to host, reproduce, format, display, transmit, and use that content as reasonably necessary to operate, promote, secure, and improve the Platform and the campaign or offer for which it was submitted.
You represent that you have the rights and permissions required to submit the content.
Local Perx may remove content that is inaccurate, unlawful, infringing, unsafe, misleading, inappropriate, or inconsistent with these Terms.
Local Perx Intellectual Property
The Platform—including its software, design, branding, text, graphics, dashboards, workflows, databases, trademarks, and other materials—is owned by or licensed to Local Perx.
Except for the limited right to use the Platform under these Terms, no intellectual-property rights are transferred to you.
Organizations may receive limited branding or white-label rights under a separate written agreement. They may not claim ownership of the underlying Local Perx technology.
Prohibited Conduct
You may not use Local Perx to:
- Commit fraud or facilitate unauthorized transactions.
- Create fake participants, purchasers, organizations, or redemptions.
- Manipulate goals, rankings, rewards, commissions, or attribution.
- Harass, threaten, exploit, or endanger a child or another person.
- Send unlawful or unsolicited communications.
- Upload malware or interfere with Platform security.
- Reverse engineer or copy Platform technology.
- Violate another person’s privacy or intellectual-property rights.
- Misrepresent an offer, campaign, purchase, or charitable status.
- Launder money or conceal the source or destination of funds.
- Circumvent payment, eligibility, territory, or permission controls.
- Use the Platform in violation of law.
Monitoring, Suspension, and Termination
Local Perx may investigate suspected fraud, unethical conduct, safety concerns, complaints, inaccurate information, payment risk, or violations of these Terms.
Local Perx may immediately restrict or suspend future access, offers, campaigns, territories, communications, redemptions, or payouts when reasonably necessary to protect users or the Platform.
Material actions may be recorded with:
- The requesting party.
- Date and time.
- Stated reason.
- Reviewing authority.
- Approval or denial.
- Effective date.
- Financial impact.
Amounts already validly paid are not automatically forfeited. Pending or disputed amounts may be held while a review is completed.
Third-Party Services
The Platform may link to or depend on services supplied by Stripe, Twilio, mapping providers, social networks, voucher providers, hosting companies, merchants, and other third parties.
Local Perx does not control those services and is not responsible for their independent terms, outages, decisions, content, security practices, or performance.
Your use of a third-party service may be governed by that provider’s separate terms and privacy policy.
Platform Availability and Modifications
Local Perx may add, remove, update, suspend, or modify Platform features, memberships, pricing, program rules, dashboards, integrations, categories, geographic availability, or technical requirements.
We do not guarantee uninterrupted or error-free availability. Maintenance, provider outages, security events, connectivity problems, or circumstances outside our control may temporarily affect the Platform.
We will make commercially reasonable efforts to preserve accurate transaction and payout records and restore affected services.
No Guarantee of Results
Local Perx does not guarantee:
- A particular amount of fundraising revenue.
- A minimum number of sales or renewals.
- A particular level of member savings.
- Continued availability of any merchant or offer.
- A minimum amount of merchant traffic or revenue.
- Prize eligibility or placement.
- Approval of an organization, merchant, representative, or payout account.
- Performance by an independent organization, merchant, representative, or provider.
Examples, projections, goal calculations, and dashboard estimates are illustrative unless expressly identified as final.
Disclaimer of Warranties
To the fullest extent permitted by law, the Platform is provided “as is” and “as available.”
Local Perx disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, noninfringement, and any warranty arising from course of dealing or usage of trade.
Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.
Limitation of Liability
To the fullest extent permitted by law, Local Perx and its owners, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits; lost opportunities; lost data; reputational harm; or losses resulting from an independent merchant, organization, representative, voucher provider, or other third party.
Local Perx’s aggregate liability arising from the Platform will not exceed the greater of:
- The amount you paid directly to Local Perx during the 12 months preceding the event giving rise to the claim; or
- One hundred U.S. dollars ($100).
This limitation does not apply where prohibited by law.
Indemnification
To the extent permitted by law, organizations, merchants, representatives, and other business users agree to defend, indemnify, and hold harmless Local Perx and its affiliates from claims, losses, liabilities, costs, and expenses arising from:
- Their campaigns, offers, products, services, or conduct.
- Their User Content.
- Their misuse of personal information.
- Their violation of law or these Terms.
- Their infringement of another party’s rights.
- Their unauthorized or misleading communications.
- Their failure to fulfill a campaign, offer, reward, or obligation.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of [STATE], without regard to conflict-of-law principles.
Before filing a formal claim, you agree to contact Local Perx at [LEGAL EMAIL] and attempt in good faith to resolve the dispute for at least 30 days.
Attorney review required before publication: Insert the company’s approved provision governing court venue, arbitration, small-claims rights, jury-trial waiver, and any class-action waiver.
Nothing in this section limits rights that cannot legally be waived.
Changes to These Terms
Local Perx may update these Terms as the Platform, laws, or business relationships change.
The updated Terms will display a new “Last Updated” date. When legally required, we will provide additional notice or request renewed acceptance.
Continued use after the effective date of updated Terms constitutes acceptance where permitted by law.
General Terms
If any provision is found unenforceable, the remaining provisions remain effective.
Our failure to enforce a provision is not a waiver.
You may not assign your rights or obligations without Local Perx’s written consent. Local Perx may assign these Terms as part of a merger, financing, reorganization, sale, or transfer of the Platform.
These Terms, the Privacy Policy, applicable checkout disclosures, official promotion rules, and any separate signed partner agreement constitute the applicable agreement between you and Local Perx.
If a signed partner agreement conflicts with these Terms, the signed agreement controls for the subject it specifically addresses.

Direct Donations
Supporters may make a direct donation to a participating organization through the Platform without purchasing a membership. Donations may be one-time or recurring, and recurring donations may be cancelled at any time from the donor’s account or by contacting support.
Donations are made to the receiving organization, not to Local Perx. Local Perx provides the technology used to collect, attribute, report, and distribute donated funds, less applicable processing and platform fees disclosed at checkout.
Tax deductibility depends entirely on the receiving organization’s tax status and applicable law. Local Perx does not determine tax status and does not provide tax advice. Donations are generally final; see the Refund Policy for limited exceptions.
50/50 Digital Raffle
Where enabled, a participating organization may run a 50/50 digital raffle in which one randomly selected winner receives fifty percent of the eligible entry pool and the organization receives the remaining fifty percent, less applicable processing and platform fees disclosed at checkout.
Raffles are offered only in jurisdictions where they are permitted and only where the organization holds any license, permit, or registration required by state or local law. The organization is responsible for obtaining and maintaining that authorization and for complying with all applicable raffle, gaming, and charitable solicitation rules.
Entrants must meet the minimum age and residency requirements stated in the official rules published on the campaign page. Entries are digital, non-transferable, and final once purchased. Winner selection, notification, prize claim deadlines, unclaimed-prize handling, and any tax reporting obligations are governed by those official rules.
Local Perx is not the sponsor, operator, or licensee of any raffle and does not guarantee any prize, pot size, or number of entries.
Draft policy summary for design purposes. Final legal language is published after review and is not a claim of legal or regulatory compliance.
